If you're talking Google, the keys are:

 - semantic/well-structured markup
 - appropriate TITLE, H1, H2, etc. tags
 - key content as close to the top of the source code as you can
 - good, appropriate, well-written, content
 - other people that deem your content, good, well-written and appropriate
enough to link to you.
 - accessible design (Look at the recent discussion on accessibility. Making
your site more accessible also makes it more accessible to google-bot.)

And, yes, Google puts little-to-no weight on traditional meta
keywords/descriptions. That doesn't mean you shouldn't use them, but don't
count on them for SE rank.
