As a result of the meeting held on Thu, Nov. 19 I have been in contact
with the NY state department regarding the dissolution of "The Digital
Development Foundation, Inc." [DDF]

The proposal at the meeting was as follows:

[quote]
[20:45:37] <MrB> How about this:
[20:45:37] <MrB> 1. I file the paperwork for dissolution with an
additional written letter we have never been a tax paying
organisation, and I ask for permission to dismantle the organisation
and registration without the 95% of *that* paperwork (this may be
   disapproved by the state)
[20:45:38] <MrB> 2. the DDF waives the JCA part of the copyright, so
the code falls back to the original authors alone and we can bring
the code in alignment with reality
[20:45:38] <MrB> 3. If the request for dissolution gets approved, we're
    done for sure
[20:45:38] <MrB> 4. if the request fails, we can ignore it or revisit
[end quote]

As per this afternoon, I have requested the dissolution of the DDF (the
"1." above). The processing time is expected to be very long, so the
letter of confirmation is expected to take quite a while.=20

The process involves 2 filings, each of which may be disapproved. The
chance of disapprovement is very slim, given the reason for
dissolution and the amount of money and jobs involved (that is: 'none')=20
Let's assume the process goes according to the intent for the moment.
If it does not, I will have to report back. =20

I will take care of both filings and payment.=20

As for the matter of copyright notices, which triggered the first
dissolution proposal (jan 2009?), they may now be changed if so
desired, pending the DDF dissolution. The DDF will not waive its rights
under the JCA because that seems to be very complex to do in addition
to a dissolution. A dissolution however will implicitly do the same.
While we are on the topic, a review of copyright notice usage may be in
order. It should be relatively easy to delegate the process to the
revision control system as to have a more maintainable solution.

I can imagine there are questions; for those, weigh the pros and cons
of public discussion in relation to your specific question vs
sending an email or instant message to me personally.

For those interested, the following statements/actions are perhaps
useful to know:
 - the devel list is the reference information point on this issue. If
there is relevant information elsewhere, please copy to here (for
archival reasons and making my life a *whole lot* easier, so 'pwetty
   please?')
 - if you know relevant parties which should receive this message and
are not on this list, feel free to forward to them (and CC me
   on it)=20
 - i will archive and store the DDF information we have (which is
about 1 box of paper and a CD with electronic info) for a period of
5 years or more. A part of this information was already made
available to the PMC earlier this year.
 - while there are formally a number of actions that should be taken on
a dissolution I have dismissed all of them as 'irrelevant' (e.g.
   final tax filings etc.)=20
 - My email and jabber id: [email protected]

While not ideal, and certainly not intended at incubation, I hope the
above represents a satisfactory resolution for all parties involved.

All the best,
marcel
