  Thanks for the reply, i'm checking the status of SPLS bit (sorry i wrote SPLSS bit by mistake). I'm using initialization files provided by Metrowerks Codewarrior. The MODCLK is 010 and PLPRCR is initialized to 0x00900000
  I'm getting the CLKOUT as 11 MHz and system is strucking in the while loop which is waiting for PLL lock (setting of SPLS bit). Please suggest something.

it.  The SPLS bit tells you if you are currently in lock.

I suggest you check the SPLSS bit before you run your program if
possible, or at least read it before your program tries to set the PLL.
This will help you determine if you loose lock before or after running
the FLASH code.

Please check your MODCLK values, CLKOUT after reset, CLKOUT after SPLSS
goes to 0 and what value are you writing to PLPRCR.  With a 4MHz xtal,
modclk should be 010 and CLKOUT after reset should be 20MHz and SPLSS
should be 0 at this point.

I'm using MPC566 in my board. The pin configuration of my board is same 
as the evaluation board of MPC566. I'm using 4 Mhz crystal oscillator 
and XFC 0.033 microfarad (same as used in evaluation board). I'm able 
to write internal flash using BDM port, but when i try to run program, 
the SPLSS bit in PLPRCR is not setting. I've checked the CLKOUT signal 
of both evaluation board and my board, the waveform is same. I mean 
noise level is same as the evaluation board. Please suggest something 
what could be the reason.
