It has been WAY too long since I did this and I'm an idiot...  I had my boot.conf file incorrect - below is the correct one (forgot the second line)...

# more boot.conf
stty com0 19200
set tty com0
boot /bsd.rd

I just both the board to boot and the install is running now...  thanks everyone!!!
