I haven't looked at specifics but I suspect that most if not all of the
initial codebase needs to retain an aknowledgement/license.

In this case I would use a license like

 /*
  * Copyright (C) The Spice Group. All rights reserved.
  *
  * This software is published under the terms of the Spice
  * Software License version 1.1, a copy of which has been included
  * with this distribution in the LICENSE.txt file.
  *
  * This product includes software developed by the
  * Apache Software Foundation (http://www.apache.org/)
  * under the license http://www.apache.org/LICENSE
  */

However any new file should not be licensed to Apache.

Sounds like an idea but I would wait to see what others say who know the
codebase better ;)
