Actually, the Fed is a quasi-public entity.  But, this question is 
axiomatic.  If it is a private entity then it isn't fiat money because 
only the government can issue fiat money.  As I keep saying, the Fed 
creates money by exchanging debt (US Treasury paper) for debt (Federal 
Reserve notes) -- it isn't fiat money in any case.
