I think it is but I may be wrong.

According to the LPPL, you mustn't do this. A better solution is to get 
Prosper from CVS with prosper.cls v1.24, like the Prosper distrib 
available on CTAN. You lose the VTeX support too but you don't have to 
break the LPPL... You can off course package your RPM from CTAN, which 
is an other equivalent solution (since the CTAN version is based on 
prosper.cls v1.24).
