Deleting just those two files will confuse Vault.  The right
thing to do is to make sure you have any other changes in that
working folder checked in, and then delete all the files in the working
folder.  Then delete all the files in the hidden folder (the one with 
the FAILED files) including the "state" file there.  You can make sure
you've got the right hidden folder by choosing "Explore Hidden Data Folder"
from the context menu in the Diagnostics Tool.

Now you can perform a Get Latest Version on those files and get back to
working with them.  Vault 2.0 has enhanced CRC checks when those
hidden files are created and used, so hopefully these problems
will be prevented in the future.
