problem with HTTP 'access denied' after Vault 2.0.3 installation

i just installed Vault 2.0.3 server on a new machine, and can get to the
default serverInstall.html page correctly.
 
but when i try and access the VaultService.asmx file or the VaultWeb login,
i get a username/pwd authentication popup from the browser, and after
cancelling that, i get an HTTP 401.2 "Access is denied" error.
 
there are other ASP.NET web sites running on this same (Windows 2003
Enterprise, domain controller) server, so i know ASP.NET is configured
correctly.
 
i've verified in sgvault.log that no other errors are occurring:

initially i'd installed Vault using NT AUTHORITY\NETWORK SERVICE to login to
SQL (on another server), and was seeing this error.  i uninstalled and
dropped the SQL db, and then tried installing using a custom impersonated
account (<domain>\VaultService) and nothings different.
 
could it be some ASP.NET issue where ASP.NET itself doesn't have permissions
on a file it needs?  i've looked in the likely places for NT
AUTHORITY\NETWORK SERVICE to have access, since that's what the app pool is
running under.
 
any thoughts?
