Sorry, I can't parse this question. But the expectations of either party
to the agreement seems irrelevant. The plain language of the agreement
appears to state that in exchange for whatever service they are
providing you are transferring to them /all/ "intellectual property and
other proprietary rights" you possess in the subject work, retaining
nothing for yourself.
The agreement may fail for lack of consideration if it can be shown that
whatever benefit they purport to provide is illusory, but if it is not
then you have a valid contract. You may not /like/ the contract, but if
you accept it you get little sympathy from me.

Nor to me, but the basis for most intellectual property law makes no
sense to me.
