NEWS from SHERA: Bylaws and Membership

*SHERA’s Constitution Committee* recently approved a set of bylaws and is
ready to present them to members for adoption (full text appears below).
They are modeled on other societies’ bylaws and adapted to SHERA’s needs.
Many thanks to Kathy Duff, Eva Forgacs, Mark Svede, Danilo Udovicki, and
Alla Vronskaya for their help. Current members of SHERA will receive an
electronic ballot soon, asking them to vote for or against adoption of the
bylaws—voting will take only a moment. The bylaws will become effective as
soon as they are approved by a majority of votes. We must adopt them to
remain in good standing with CAA. Members, please vote before May 10th.

*Membership in SHERA* supports the wide range of activities we pursue,
including affiliations with CAA and ASEEES, with sponsored sessions and
meetings at their annual conferences; a directory of specialists in East
European, Eurasian, and Russian art and architecture; outreach to
colleagues around the world; and a new website scheduled to launch early
this summer.

*Becoming a member of SHERA* allows you to receive to the annual Member
Directory, participate in SHERA panels at CAA and ASEEES, submit updates to
Member News and Research pages of the coming website, and participate in
special events held in conjunction with annual conferences. Join a

 *Society of Historians of East European, Eurasian, and Russian Art and
Architecture*

*BYLAWS*

 I.               Preamble

 The Society of Historians of East European, Eurasian, and Russian Art and
Architecture (SHERA) is an affiliated society of the College Art
Association and of the Association of Slavic, East European, and Eurasian
Studies. The purpose of SHERA is to promote research, provide a forum for
ongoing conversations on areas of mutual interest, and foster contacts and
collaboration among scholars of East European, Eurasian, and Russian art
and architecture through activities such as an online newsletter, a
listserv, and active participation in research conferences.

 It is the purpose of these bylaws to provide a plan of governance for
SHERA consistent with its status as an Affiliated Society of the College
Art Association and the Association of Slavic, East European, and Eurasian
Studies.

II.             Membership

 Membership in SHERA shall consist of those persons who have paid current
annual dues or have been elected Honorary Members by dues-paying members of
SHERA.

III.           Meetings

a.              SHERA shall hold a business meeting during the time of, and
in the same city as, the College Art Association’s annual meeting, the
annual convention of the Association for Slavic, East European, and
Eurasian Studies, or at such time and place as a quorum of the membership
shall agree upon at its last meeting.

b.              SHERA shall hold a minimum of one meeting per year.

c.               A quorum shall consist of those present at the annual
meeting, either in person or by proxy.

IV.            Voting

 Each dues-paying member of SHERA shall be entitled to one vote.

 V.              Officers and Board of Directors

a.              Officers shall comprise, but not be limited to, the
following:

1.              A President, who shall serve a term of two years. The
President shall preside over meetings, shall have general management of the
affairs of the Society, and shall perform all the duties incidental to the
office.

2.              A Vice-President, who shall serve a term of two years. The
Vice-President shall assist the President in the general management of the
affairs of the Society, and shall perform all the duties incidental to the
office. The Vice-President shall also serve as President-Elect, and shall
take on the office of President at the end of his or her term.

3.              A Secretary-Treasurer, who shall serve for a term of three
years. The Secretary-Treasurer shall be responsible for collection of
membership dues, maintenance of membership records, and all fiscal matters.
The Treasurer shall record the minutes of each meeting and distribute them
at or before the next meeting.

4.        A Webmaster, who shall serve for a term of three years. The
Webmaster shall maintain and update the Society’s website.

b.              Board of Directors

1.         The Board of Directors shall be responsible, along with the
Officers, for the administration of the Society.

2.         The Board of Directors shall include the four above Officers of
SHERA, and at least two other members-at-large.

3.         Members-at-large shall be appointed initially for one year.
Thereafter they shall be elected by the membership for a two-year term.

4.              The Officers and Board of Directors shall be elected by
anonymous electronic ballot upon a call for nominations that is circulated
electronically. Election results shall be announced on the Society’s
listserv and website.

VI.            Committees

a.              The President shall have the power to appoint members to
standing committees with the approval of the Board of Directors.

b.              Members or groups of members may form additional committees
so long as the Chair and the Board of Directors are informed.

VII.          Effectiveness

These bylaws and subsequent amendments shall become effective as soon as
they have been adopted by a majority of votes by the Society of Historians
of East European, Eurasian, and Russian Art and Architecture by electronic
ballot.

VIII.        All matters not covered by these bylaws shall be governed by
Robert’s Rules of Order.
[The bylaws will appear on the SHERA website. In the meantime, anyone
wishing to have a formatted copy of the bylaws may request one. Any
amendments may be proposed at future SHERA meetings.]
