3c905 card simply refuse to work, please help

Greeting to everyone,

My PC: P4 with 256MRAM  2 NICs intented to use as
a firewall. OS: Centos 3.3, kernel: 2.4.21-20.EL.c0.

Eth0----Intel Pro/100 works fine, can get static IP or DHCP.
Eth1---3Com 905 TX simply refuses to work, it's loaded as a=20
module and driver looks OK. But I can't assign it to a IP
or DHCP ( as internal network). please help.
