You might have an out of date binutils, given that 'as' is part of binutils.

If you're building a cross-compiler, have you tried using
http://kegel.com/crosstool ? The 0.28-rc28 snapshot should be
ok with gcc-3.4.0 (it builds gcc-3.4.1, too, but might not
have all the needed patches yet).
