HP DL 585 Dual Core - Kernel Panic

Hi all - I am getting a kernel panic when trying to boot the smp kernel of RHEL 3 AS U4.  Boot into up no problem.  Has anyone experience this.  The 2.4.21-27 kernel is fairly old and may not support dual core, but I wanted to verify.
