Then I suggest just use "linux mem=144M"

It's a fresh installation. There are no partitions on HD.

You need to load linux with option. Use the command option at
boot up and at the prompt you would have to assign the memory.
Try this.
linux mem=144M noprobe root=/dev/hdx
WHERE x is your partition.
The kernel panic message happens because the system cannot find the root
file system.
