RE: RHEL3 => RHEL 5 - failover/clustering?

The new machines are intended to be use as a web servers running 
PERL, PHP, Tomcat(maybe), Mysql

Again, all I want to do is have one running and the second one as a failover
and I want to be able to have identical software on each machine.

Depending on the applications you intend to run on these machines upgrading to RHEL 4 might be a better option still.  AFAIK not all middleware and such is certified for RHEL 5 yet so you might want to check that first.
