Don't install 3rd party software that makes a mess of your system is
one option. Since the conflict appears to be with two packages that
you didn't get from RHN there might be a better place to ask than this
list which is for issues related to Red Hat Network.

Perhaps openwebmail support would be better as they appear to have
instructions and RPMs for RHEL5.
