1) Upgrading RHEL3 to RHEL4 is off-topic here, as it's not recommended by Red Hat. See the recent posts in the RHEL4 Mailing List <[email protected]>

2) Re-install the VMware-tools inside the Virtual Machine, and follow the recommended steps for re-compiling the different VM modules managing the network card, graphic card, memory allocation etc...
