What version of yum are you trying to use?

Also the best way to upgrade a rh 7.3 box is to back it up and reinstall
it. It's a long haul from 7.3 to anything reasonably current and the
kernel changes alone will make it a very painful process. Seriously,
upgrading a 7.3 box would work something like this:

7.3-> centos3/rhel3/fc1
centos3/rhel3/fc1 -> centos4/rhel4/fc3
centos4/rhel4/fc3 -> centos5/rhel5/fc6
fc6->Fedora7

a whole world of no-fun to do that.
