I've had the same problem some time ago, and found it was caused by
a bug in the defsystem.lisp that comes with matlisp. I reported it
to the defsystem developers:

I think the problem has been fixed since then, so I would suggest
you to replace matlisp's defsystem.lisp with the the latest
defsystem.lisp from clocc (in the src/defsystem-3.x directory) and
see if that improves things.
