Entity can be set up as sole proprietorship, partnership and limited company.  The most commonly used forms for both local and overseas investors are either private limited companies or representative companies incorporated elsewhere (overseas) in Hong Kong.  Limited company can be acquired as a shelf-company ( a ready made company) or be incorporated from scratch that generally takes about two weeks.

The basic requirements of a private limited company in Hong Kong are as follows:

l	Two shareholders (minimum) - can be individuals or corporate entities and no restriction on residence);
l	Two directors (minimum) - can be individuals or corporate entities and no restriction on residence);
l	One company secretary who must reside in Hong Kong;
l	Register with the Business Registration Office;
l	Audited by Hong Kong CPA annually;
l	Present and audited accounts to the shareholders for adoption annually;
l	Hold a shareholders' Annual General Meeting annually;
l	File Annual Return giving particulars of the Directors; Shareholders and Secretary, together with the Company's capital structure;
l	File Profits Tax returns, Tax Computation and Employer's returns annually.
