Hi Bidhudatta,
I use net-snmp 5.4.1 on Windows XP 2002, but with MSVC++ 6.00. So I would say you should first check your MSVC++ version ... and follow the README.win32.
If you have VC++ 6.00, you need to install the Platform SDK, and the only thing I would add to the README.win32 is the 2bis item in the following section that is extracted from the README.win32:

Win32\build.bat script
======================
The build.bat script is an easy menu driven system that allows you to select
how Net-SNMP should be built, and where it should be installed. Follow these
steps to build using build.bat:
1. Open a command prompt
2. Initialize the Visual Studio build environment by running VCVARS32.bat
which can be found in the bin folder of your Visual Studio install folder.
2bis. Configure Microsoft Platform SDK by running "C:\Program Files\Microsoft Platform SDK\SetEnv.Cmd".
Note: The path is the default installation path for Platform SDK.
3. Run win32\build.bat
...
I followed instructions from README.win32 and I was able to build my own agent under Windows XP with MSVC++ environment.

I am going to do snmp program in windows2000 using c++ in vc++ IDE.
Will i do the things according to

or just using the pre installed VC++ is enough.
