  I saw one more thing in the snmpd.conf.win32 and snmpd.conf help files.
The perl token is not mentioned in snmpd.conf.win32. Hence, I think
this feature is not supported in WinXP, But, I am not too sure.

   I have tried out the following and reboot'ed my machine after OpenSSL 
installation.
But, the same error(line 39: Warning: Unknown token: perl.) is coming 
while starting the agent
 
  Win32OpenSSL_Light-0_9_8g.exe - installed before Net-SNMP
  net-snmp-5.4.1-ssl-3.win32.exe - installed NetSNMP.ppd after Net-SNMP 
installation
