Short of checking folder permissions, I can't think of anything.
The major issue I found using w2k3 was that the extension_dir was
pointing to "./" and not the actual folder.
I take it your HDD is partitioned a lot? F:\ seems a rather high letter.
Or is this a network share?

Create a script with:

<?php phpinfo(); ?>

Load it and verify that the correct php.ini is loaded as well as GD.
