In it states:

If you make your own "theam" with new graphics and change colour - then repackage....

If you make your own back end without using OSC code then there is no requirement of OSC copywrite.  However why re-invent the wheel.  "E-Commerce Engine Copyright © 2003 osCommerce" would be still within the copywrite.  PLUS you can keep the default ADMIN interface and add a MOD called [url=http://www.oscommerce.com/community/contributions,1359]Admin w/Access levels 2.2[/url] that will get what you want.  Just turn off what is not needed.
