thanks to my friend fred augier, who found that the NIC on the poweredge 
1950 is Broadcom® NetXtreme II chipset 5708.

the good ethernet driver for this chipset is not tg3.o but  bnx2.o and 
can be downloaded here

http://www.broadcom.com/support/ethernet_nic/downloaddrivers.php
and it works fine
