Same issue exists on either distro - I open a console, and type 
su -c "echo mem > /sys/power/state".  It drops into suspend mode fine,
but when you press the power button to resume the system, the fan, cd,
and hd spin up, but the system turns into a brick.  The system
completely locks up before going into any usable state.  Keyboard ceases
functioning, screen doesn't come back on, touchpad is dead, and you
cannot remotely access the system.

Thank you for letting me know about /var/log/messages.  I only knew
about dmesg, and it always restarts at the next boot.  Upon checking it,
there is absolutely no mention of suspending - up or down.  It shows a
gap of about 20 seconds, and syslogd/klogd starting up at the next boot.

Suspend-to-disk varies on each system.  In Ubuntu, suspend-to-disk works
perfectly.  No problem whatsoever.  In FC5, however, after typing "su -c
"echo disk > /sys/power/state" , the system locks up, right after
pressing enter.

I tried removing modules (madwifi, fglrx, alsa, 8139too, and any other
unused module at the time) and the same result applies.  Starting in
runlevel 3 also produces the same effect.

Thanks for all the info you've given me so far, and hopefully we'll get
this figured out.  I don't think I've mentioned it yet, but I have a
Satellite M55-S139 model laptop.

Okay, so with Fedora, use the GUI, try 'Admin'->'Network' and then turn
off
the 'active' network card. Then save the settings and restart the
network so
that just the local 'loopback' is up. Unplug any add on 'USB' extras
that
you might have (e.g. external CD-ROM, mice, TV tuner, Wacom tablet,
whatever), then give it a reboot/retry. Hopefully, the suspend to RAM
works
thereafter...

With that trick you can diagnose if it is the network (or any
incorrectly-suspended-peripherals) that stop the resume from working
properly.

If that solves it, you will want your network back, so activate it
again,
then try swapping from WPA to WEP.

That should take fifteen minutes, and might help...

There are plenty of tools for checking the system logs, and by 'Fedora'
default everything 'dmesg' should go through to /var/log/messages.
Install
'webmin' (if you have not already done so), open your browser to
localhost:10000, login and then go to 'system'->'syslog'. Click on
'view'
next to the log of interest and type what you are looking for in the
searchbox - voila!

I've forgone the Ubuntu setup, due to it's atocious handling of
development software...  Currently, my system stands as thus: 

Fedora Core 5, kernel 2.6.17-1.2174

unfortunately, i cannot pull a dmesg after resume - it will suspend
fine, but it locks up after the HD and fan spin back up.  Other than the
power button glow, it turns into a brick.

Can you provide the list with more details on your Linux system please? 
(ubuntu release, kernel version, etc)

In particular I'd be interested to see the output from 'dmesg' after a 
resume from RAM. In my experience with Linux, suspending is not 100% 
perfect, not yet anwyay ;-) so some bugs could be present and the dmesg 
output should show us.
