Is upgrading the kernel necessary

I have just updated the patches on a HP Prolient DL380 G3 from RHEL AS 3 (Taroon) to AS 3 update 8. I ran up2date -u. However, the kernel was not been upgraded. Should I be upgrading the kernel or not? If I should upgrade the kernel how do I do this and will there be any impact on the system?
