I haven't helped incorporate a User Group, but I am heavily involved in the
Memphis Hackerspace, MidsouthMakers.org. MidsouthMakers is a private
nonprofit in the state of Tennessee. We're not 501(c)(3), which is a
national non-profit status however the state level was all we needed. If
you have the manpower, look into 501(c)(3). We found it to be quite a bit
of unnecessary work because we never intend to expand outside of Tennessee
or solicit any grants / 501(c)(3) donations. There are also alternate
versions of 501 status that may make more sense, I'm not fully aware of
these as we focused mainly on the (c)(3) pros and cons. Something to
consider is you can always move UP to a 501(c)(3), but you cannot step back
down easily.

As for MemphisPHP.org, we haven't incorporated mainly because there hasn't
been a need / drive to do so. I imagine if we ever banded together for a
project as a group it would definitely become something we'd want to look
into.
