[OSCOM] DISCUSS: Getting a new board in place

Regarding the OSCOM legal entity, as Henri pointed out in his blog  
post, we can either:

   a) Rejuvenate OSCOM with people interested in running it, or

   b) Close it and transfer the assets elsewhere.

The third choice -- remain in an undead state, no audits, no tax  
filings, etc. -- is (IMO) not a realistic choice.

As a litmus test on whether there is sufficient energy and interest  
to continue the legal entity, I propose we conduct a board election.   
This exercise will test:

   1) Will we have a good slate of candidates?

   2) Can we get the membership to participate in a vote?

If this goes well, then OSCOM shows it certainly is still viable.  If  
not, the membership can ask the existing board to draft a dissolution  
plan for the legal entity.  If approved by the membership, OSCOM-the- 
legal-entity retires OSCOM-the-community emerges as the focal point.

I propose a deadline, just so we don't show up next year for an  
Ungrateful Undead reunion:

"If a new board isn't elected by the close of 2006, the existing  
board will draft a dissolution proposal for comment by the membership."

...don't describe too much the process of election, which is probably  
good.

I volunteer to do the grunt work, even if manual, for conducting the  
election.  (Others can volunteer too, and we can be a little election  
committee.)  How do folks think the nomination and election process  
should work?
